New company formation. Following the English common-law tradition, formation of a new company in the US is very similar to practice in Australia except that the company must be formed under the state law of one of the US states such as New York, Florida, etc. In addition, companies can generally be formed as either corporations or Limited Liability Companies (which have many partnership characteristics.) The most popular jurisdictions for incorporation in the United States are New York, California, Florida and New Jersey, generally because they represent major population centers. Delaware, Nevada and Wyoming all have major corporate populations due in large part to the fact that they do not seek to tax income earned outside of their borders. As a matter of fact, more than 50% of the companies traded on the New York Stock Exchange are incorporated in Delaware.

In forming your US entity through NCS, you'll receive the following service:

Corporate information: Because companies are registered at the state level in the US, it is possible to obtain a "Certificate of Good Standing" for any US company by knowing the exact company name and the state in which it exists. The documents generally contain the name of the company and date of creation, are certified by the issuing state and represent that the company was validly created and is in a continuing state of existence. The costs vary depending on the state but are usually between US$175 and US$275 plus courier fees.

In addition to formal Certificates of Good Standing, you can usually obtain a corporate search from a given state detailing whatever information on that company is available from the state database.

Financial information on company performance: In the US, the financial details of a company are not required to be publicly disclosed (except, of course, to the tax authorities in the company's tax returns which are highly confidential) unless that company is publicly traded.
